These Terms of Service ("Terms") govern your access to and use of the PayTransparency.ai website and services (the "Service") operated by AIGuru LLC ("we," "us," or "our"), located in Princeton, NJ, United States. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

PayTransparency.ai provides an AI-powered pay equity compliance assessment platform. The Service allows users to evaluate their organization's readiness for pay transparency regulations across multiple jurisdictions, receive risk scores, and access compliance recommendations.

The Service may include free assessment tools, generated reports, educational content, and premium features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Responsibilities

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

You agree not to use the Service to:

5. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, algorithms, assessment methodologies, software, and report templates, are owned by AIGuru LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the data you submit to the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service to you. We may use aggregated, anonymized data for analytics and service improvement purposes.

The Service provides informational compliance assessments and recommendations only. It does not constitute legal, financial, or professional advice.

The assessments, risk scores, and recommendations generated by the Service are based on the information you provide and our analysis of applicable regulations. 7. Limitation of Liability

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • In no event shall AIGuru LLC, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability for all claims arising out of or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless AIGuru LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Termination

You may terminate your account at any time by contacting us at contact@paytransparency.ai. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. Sections 5 through 11 shall survive termination of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
